1. Who we are & acceptance
ABCD — Any Body Can Direct ("ABCD", "the Service") is owned and operated by Akash InnoTech ("Akash InnoTech", "we", "us", "our"). By creating an account, purchasing a plan or otherwise using the Service you agree to these Terms & Conditions and to our Privacy Policy. If you do not agree, please do not use the Service.
2. The Service
ABCD is an AI-assisted film studio: Director Studio & Vibe Mode, Image Studio, Video Studio, Music Video Studio, Film Editing Studio (AI edit planning, transitions, music ducking, cinematic packaging with title / filmmaker / brand / end cards, auto thumbnails and a thumbnail editor), Voice casting, export/upscaling, ABCD TV publishing and MCP Connect for AI agents. Generation is performed with third-party AI engines (including BytePlus Seedance/Seedream, fal.ai, ElevenLabs, OpenAI/Anthropic/Google models). AI output can be unpredictable; we do not guarantee that generated content is accurate, complete, non-infringing or fit for a particular purpose.
3. Eligibility & your account
You must be at least 18 years old (or the age of majority where you live) and legally capable of entering into this agreement. You are responsible for your credentials and all activity under your account, and for keeping your information accurate. We may suspend or close accounts that breach these terms.
4. Your content, AI-generated output & licence
You retain ownership of the prompts, scripts, reference images, songs, clips, logos and filmmaker details you upload. Everything the Service generates for you — films, storyboard frames, images, video clips, music, voices, subtitles, edit plans, title/end cards, posters and thumbnails — is yours as well: Akash InnoTech claims no ownership of your generated output and you may use it commercially, subject to the terms of the third-party AI engine that produced it and to these Terms. Because AI output is not always unique, we cannot promise that a similar result will not be produced for someone else, and copyright protection for AI-generated material varies by country. You grant Akash InnoTech a limited, worldwide, royalty-free licence to host, process, transcode, store, mirror and display that content solely to operate and improve the Service (generation, rendering, cloud storage, support). You warrant that you hold all rights — including likeness/consent for real people, licences for music and permission to use any logo or brand mark — for anything you upload, reference or add to a film.
5. Publishing to ABCD TV & the landing page
When you publish a film to ABCD TV, or a super administrator features it on the ABCD landing page, you grant Akash InnoTech a non-exclusive licence to publicly display, stream, thumbnail and promote that film — including the poster, thumbnails, title and filmmaker name you chose in the Film Editing Studio — within ABCD and ABCD marketing surfaces until you unpublish it or it is removed. You must own or control the rights to everything in a published film. We may remove or unfeature any title at our discretion. Creator terms (mirroring Section 10): publishing does not grant you any right in the ABCD TV interface, layouts, trade dress or the "ABCD", "ANY BODY CAN DIRECT" and "ABCD TV" marks; you may identify ABCD as the studio your film was made with only through the attribution badge or share card we provide; you must not remove or obscure ABCD watermarks or notices on published or shared films, frame or mirror ABCD TV pages elsewhere, scrape or bulk-download other creators' films, or use ABCD TV content or data to build or train a competing service.
6. Acceptable use
You agree not to use the Service to create or distribute content that is unlawful, defamatory, deceptive (including non-consensual deepfakes or impersonation), infringing, hateful, harassing, sexually exploitative or harmful to minors; nor to circumvent safety filters, scrape, reverse-engineer, overload or resell the Service. MCP/API access must respect the published rate limits and scopes. We may remove content, revoke keys and terminate access for violations.
7. Film Editing Studio & cinematic packaging
The Film Editing Studio lets you add title cards, filmmaker cards, a logo or watermark, end cards, custom posters and thumbnails (16:9, 9:16 and 1:1) to your films, at no extra credit cost. You are responsible for the text, names, credits and images you place on these cards. In particular you may not: use logos, studio names, certification marks, ratings badges or brand identities you do not have the right to use; credit people who did not take part or imply endorsement by someone who has not given it; present AI-generated footage as real events or real people; or use packaging to bypass the content rules in section 6. AI title suggestions and assistant edits are suggestions only — nothing is applied until you confirm it, and you remain the author of the final film. The optional "Made with ABCD" brand line may be switched off; if you keep it, it may only be used on films actually produced with the Service. Uploaded logos are private to your account and may be removed if they infringe someone else's rights.
8. Plans, credits & payments
Paid plans (USG 0, USG 1, USG 2, Starter, Pro, Studio) are billed monthly or yearly and renew automatically until cancelled. Prices, credits and included features are shown before purchase; every AI action consumes credits as displayed in the app. New accounts receive starter credits for evaluation. Payments are processed by third-party gateways: Razorpay is our default gateway and accepts payment in INR and USD; Stripe, PayPal and Paystack may additionally be offered depending on your region and on which gateways we have switched on at the time — you will only see the options that are active at checkout. We never store full card details; the gateway you pay through handles them under its own terms. Credits are consumed on use and are non-transferable. Refunds are issued automatically where a generation, render or upscale fails as described in-app (packaging and thumbnails never consume credits); other refund requests are handled case by case under applicable law. Promo codes and vouchers are subject to their stated validity, plan scope and usage limits and may be withdrawn at any time.
9. Plan changes, downgrades & cancellation
Upgrades take effect immediately and your new credit allowance is available straight away. A downgrade to a lower paid plan is scheduled and takes effect at the end of your current billing period: you keep your current plan, features and credits until then, we show you the exact date and what changes before you confirm, and you may cancel the pending downgrade at any time before it applies. When it applies, your credits reset to the new plan's allowance and the plan renews at the new price. Cancelling your subscription entirely moves you to the free tier as described in-app; unused paid credits are not carried over unless the law where you live requires otherwise. Scheduled downgrades and cancellations are confirmed by e-mail.
10. Intellectual property — 10.1 Ownership of the Service
The Service, including without limitation its software, source code, object code, algorithms, prompt structures, agent workflows, user interface, visual design, layouts, navigation elements (including the fan-wheel navigation), graphics, logos, icons, colour schemes, text, audio, video, documentation, and the selection, arrangement and "look and feel" of the foregoing (collectively, the "Platform Content"), is owned by Akash InnoTech Pvt Ltd ("Company") or its licensors and is protected by copyright, trademark, design, trade-secret and other intellectual-property laws of India and other jurisdictions. Nothing in these Terms transfers any ownership interest in the Platform Content to you. Section 4 governs your own content and generated output; third-party AI engines are governed by their own terms.
10.2 Limited licence
Subject to your compliance with these Terms, Company grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service for your personal or internal business purpose of creating and publishing content. All rights not expressly granted are reserved.
10.3 Prohibited conduct
You shall not, and shall not permit or assist any third party to: (a) copy, reproduce, modify, translate, adapt, or create derivative works of the Service or any Platform Content; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, prompts, model configurations, agent logic, or underlying structure of the Service; (c) access the Service by any automated means, including bots, scrapers, crawlers, or headless browsers, or extract data, content, layouts, or design assets from the Service; (d) frame, mirror, or replicate any part of the Service, its user interface, or its visual design on any other website, application, or product; (e) use the Service, or any output, insight, or information obtained from it, to build, train, benchmark, or improve a product or service that competes with the Service; (f) use the Company's names, logos, trade marks, trade dress, or any confusingly similar mark, in any manner that may cause confusion as to source, sponsorship, or affiliation; (g) remove, obscure, or alter any copyright, trademark, watermark, or proprietary notice on the Service or on any content generated through it; (h) share, resell, or provide access to your account, API keys, connectors, or credits to any third party; (i) probe, scan, or test the vulnerability of the Service or circumvent any security, rate-limiting, or access-control mechanism.
10.4 Trade marks and trade dress
"ABCD", "ANY BODY CAN DIRECT", "ABCD TV", the golden hand-fan logo, and the overall look and feel of the Service are trade marks and trade dress of Company. You may not use them without Company's prior written consent, except to accurately identify the Service as the source of content you have created on it, in the form of any attribution badge Company makes available.
10.5 Confidentiality of non-public features
Any features, interfaces, prompts, workflows, roadmaps, or materials that are not generally available to the public, including beta, preview, or early-access features, are Company's Confidential Information. You shall not disclose, publish, screenshot, record, or describe such Confidential Information to any third party without Company's prior written consent.
10.6 Feedback
If you submit ideas, suggestions, or feedback about the Service, you grant Company a perpetual, irrevocable, worldwide, royalty-free licence to use and commercialise such feedback without obligation to you, and you waive any claim to ownership of features developed from it.
10.7 Remedies
You acknowledge that a breach of Sections 10.3 to 10.5 would cause Company irreparable harm for which monetary damages would be inadequate, and that Company shall be entitled to injunctive relief in addition to any other remedy available at law or in equity. Company may suspend or terminate your access immediately, without notice or refund, for any actual or suspected breach.
11. Disclaimer & limitation of liability
The Service is provided "as is" and "as available" without warranties of any kind. To the maximum extent permitted by law, Akash InnoTech is not liable for indirect, incidental, special or consequential damages, loss of data, revenue or profits, or third-party AI provider, storage or payment-gateway outages, arising from use of the Service. Our aggregate liability shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Termination
You may stop using the Service and delete your projects at any time. We may suspend or terminate the Service or your access with reasonable notice, or immediately for material breach, non-payment or legal requirement. Sections 4, 5, 10, 11 and 13 survive termination.
13. Governing law & disputes
These Terms are governed by the laws of India. Courts at Hyderabad, Telangana shall have exclusive jurisdiction, without prejudice to Company's right to seek injunctive relief in any competent jurisdiction, and subject to any mandatory consumer-protection rights where you live.
